Website Terms and Conditions

These Website Terms and Conditions ("Terms") govern your access to and use of generationrep.com and any Generation Real Estate Partners, LLC webpage that links to these Terms (collectively, the "Site"). The Site is operated by Generation Real Estate Partners, LLC ("GREP," "we," "us," or "our").

Please read these Terms carefully. By accessing or using the Site, or by submitting a form through the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.

1. Site Purpose

The Site provides general information about GREP, its team, properties, real estate activities, services, and potential business or employment opportunities. The Site is informational and introductory only. It is not a substitute for definitive agreements, offering documents, leases, property disclosures, professional advice, or independent due diligence.

Submitting an inquiry or communicating through the Site does not require GREP to respond, evaluate or accept a proposal, maintain confidentiality, enter negotiations, reserve a property, offer employment, or enter any relationship or transaction.

2. No Securities Offer or Investment Advice

Nothing on the Site constitutes or forms part of an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any security, investment, fund, partnership interest, or other financial product. No investment may be offered or sold except through definitive offering documents and in compliance with applicable securities laws.

The Site does not provide investment, legal, tax, accounting, or financial advice. Any discussion of strategies, projects, target holding periods, historical results, projected results, potential returns, tax considerations, or market conditions is general information only, may be incomplete, and is subject to change. Past performance does not guarantee future results. Real estate investments are speculative, illiquid, and involve substantial risks, including possible loss of the entire investment.

Any investment decision must be based solely on the applicable definitive offering documents and your own review with qualified legal, tax, accounting, and financial advisers. GREP may require verification that a prospective investor satisfies applicable eligibility or accreditation requirements before providing offering materials. Submitting an investor inquiry does not create an advisory, fiduciary, broker-dealer, partnership, or investor relationship.

3. Property and Listing Information

Property descriptions, photographs, renderings, plans, maps, dimensions, unit counts, amenities, rents, concessions, availability, completion dates, neighborhood descriptions, development status, and other property information are illustrative and may contain estimates, forward-looking information, errors, or omissions. They are subject to change, prior lease or sale, withdrawal, approvals, construction conditions, and other factors without notice.

GREP does not warrant the accuracy or completeness of Site property information. You must independently verify all information material to a leasing, purchase, sale, management, or investment decision. Renderings and photographs may depict artist concepts, staged conditions, or features that are not included. Maps and neighborhood references are approximate.

The Site is not a lease, rental application, purchase agreement, listing agreement, property-management agreement, or commitment to transact. Property-specific applications, screening, deposits, leasing, and tenant services may be administered by a property owner, management entity, or third-party platform under separate terms and notices. Housing is offered in accordance with applicable fair-housing and equal-opportunity laws.

4. No Professional, Agency, or Fiduciary Relationship

Use of the Site or communication with GREP through the Site does not create a broker-client, agent-principal, fiduciary, attorney-client, accountant-client, property-manager-client, landlord-tenant, employer-employee, or other professional or contractual relationship. A relationship exists only if the applicable parties sign a separate definitive written agreement.

You should consult qualified professionals before making real estate, investment, legal, tax, financing, construction, or employment decisions. References to tax strategies, including Section 1031 exchanges, are general information and are not tax advice or a representation that any strategy is available or appropriate.

5. Inquiries, Submissions, and Communications

You represent that information you submit is accurate, current, lawful, and that you have the right to provide it. Do not submit information that infringes another person's rights or includes passwords, Social Security numbers, bank information, trade secrets, confidential offering material, medical information, or other highly sensitive data.

Unless GREP has signed a separate confidentiality or nondisclosure agreement, information submitted through the Site will not be treated as confidential. GREP may use and share a submission as reasonably necessary to review it, respond, conduct due diligence, protect legal rights, and evaluate a potential transaction, service, or employment relationship, in accordance with our Privacy Policy.

By providing contact information, you authorize GREP and its representatives to contact you about your inquiry by email or telephone. This does not constitute consent to receive automated marketing text messages. Any consent to marketing calls or texts must be obtained separately where required by law. You may opt out of marketing emails at any time, but GREP may still send transactional or relationship-related communications.

6. Employment Information

Employment content and candidate-introduction forms are not an offer, promise, or guarantee of employment. GREP may not have an opening in every discipline at every time and may modify or discontinue recruiting at any time. Any employment relationship will be governed by a separate written offer and applicable policies. GREP provides equal employment opportunities in accordance with applicable law.

Do not submit highly sensitive information through the general candidate-introduction form. If additional information or a background check is appropriate, it will be requested through a separate process with any legally required notices and authorizations.

7. Tenant and Emergency Matters

The Site's general inquiry forms are not intended for rent payments, maintenance requests, notices under a lease, requests for reasonable accommodation, disputes, or emergencies. Current residents should use the designated tenant portal or the contact method stated in their lease or property notices. For an immediate threat to life or property, call 911 or the appropriate local emergency service.

8. Acceptable Use

You may use the Site only for lawful purposes. You may not:

  • violate any law or another person's rights;
  • submit false, misleading, fraudulent, defamatory, infringing, or unlawful material;
  • attempt to gain unauthorized access to the Site, accounts, systems, or networks;
  • interfere with Site operation or security, introduce malware, probe vulnerabilities, or bypass access controls;
  • use automated means to scrape, harvest, index, or extract Site content or personal information except as permitted by law or our written authorization;
  • impersonate any person or misrepresent your affiliation;
  • use Site content to train or develop a commercial artificial-intelligence or machine-learning system without our written permission; or
  • use the Site in a manner that could damage GREP, its properties, residents, investors, employees, partners, or service providers.

We may restrict or terminate access to the Site at any time when we reasonably believe these Terms have been violated or access presents risk to the Site or others.

9. Intellectual Property

The Site and its content—including text, graphics, photographs, renderings, videos, designs, logos, trademarks, software, and arrangement—are owned by GREP or its licensors and are protected by intellectual-property laws. Subject to these Terms, GREP grants you a limited, revocable, nonexclusive, nontransferable license to view and use the Site for your personal or internal business evaluation.

You may not copy, reproduce, modify, distribute, publish, display, create derivative works from, sell, license, or commercially exploit Site content without prior written permission, except as permitted by law. No license to any GREP name, logo, trademark, or other intellectual property is granted by implication.

If you believe Site content infringes your copyright or other intellectual-property rights, contact us using Section 19 and identify the work, the allegedly infringing material, its location, your contact information, and the basis for your claim.

10. Third-Party Websites and Services

The Site may link to websites and services operated by third parties, including AppFolio investor and tenant portals, available-unit listings, property-specific websites, maps, and social or professional networks. Links are provided for convenience and do not imply endorsement. GREP does not control and is not responsible for third-party content, availability, security, terms, privacy practices, products, or services. Your use of a third-party service is governed by that party's terms and policies.

11. Forward-Looking Statements

The Site may contain statements about plans, projects, timelines, approvals, market conditions, performance, returns, development programs, or other future events. These statements are based on current expectations and assumptions, involve known and unknown risks, and may differ materially from actual results. GREP undertakes no obligation to update forward-looking statements except as required by law.

12. Site Availability and Changes

We may change, suspend, or discontinue any part of the Site at any time. We do not guarantee that the Site will be available, uninterrupted, secure, or error-free, or that defects will be corrected. We may correct errors or update information without notice.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GREP DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, SECURITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

GREP DOES NOT WARRANT THAT THE SITE, CONTENT, OR ANY OPPORTUNITY, PROPERTY, SERVICE, OR THIRD-PARTY LINK WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME DISCLAIMERS MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREP AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, PROPERTY OWNERS, PROJECT ENTITIES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR OPPORTUNITY; OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF GREP AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID GREP, IF ANY, SPECIFICALLY TO USE THE SITE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limitations do not apply to liability that cannot lawfully be excluded or limited. Nothing in these Terms limits rights or remedies under a separate definitive written agreement, which will be governed by that agreement.

15. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless GREP and its affiliates, members, managers, officers, employees, agents, property owners, project entities, licensors, and service providers from claims, liabilities, losses, damages, judgments, costs, and expenses, including reasonable attorneys' fees, arising from or related to your unlawful misuse of the Site, your violation of these Terms, your submission, or your violation of another person's rights.

This Section does not require a consumer to indemnify GREP for GREP's own unlawful conduct and applies only to the extent permitted by law.

16. Informal Dispute Resolution

Before filing a lawsuit concerning the Site or these Terms, you and GREP agree to make a good-faith attempt to resolve the dispute informally. The complaining party must send a written notice describing the dispute, relevant facts, requested relief, and contact information. Notices to GREP must be sent to the address in Section 19 with a copy by email. If the dispute is not resolved within 30 days after receipt, either party may pursue available remedies.

This Section does not prevent either party from seeking immediate injunctive relief for misuse of intellectual property, security threats, unauthorized access, or other harm for which waiting would cause irreparable injury. It also does not apply where prohibited by law.

17. Governing Law and Venue

These Terms and any dispute arising from the Site are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to Section 16 and except where applicable law requires otherwise, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction, and you and GREP consent to personal jurisdiction and venue in those courts.

18. Changes to These Terms

We may update these Terms by posting a revised version on the Site and changing the "Last updated" date. Changes apply prospectively when posted unless a later date is stated. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If you do not agree to a revision, stop using the Site.

19. General Terms and Contact

These Terms and the Privacy Policy constitute the entire agreement between you and GREP concerning use of the Site, except that a separate signed agreement controls for its subject matter. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A waiver must be in writing and is not a continuing waiver. You may not assign these Terms without our written consent; GREP may assign them in connection with a reorganization, transaction, or transfer of the Site or business. Headings are for convenience only.
